1. Agreement to Terms

By accessing or using Review Wizard's website and services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Services.

These Terms apply to all visitors, users, and others who access or use the Services, including but not limited to marketing services, lead generation, reputation management, and any software or tools provided.

2. Description of Services

Review Wizard provides marketing and lead generation services for local businesses, including but not limited to:

  • Lead generation and capture solutions
  • Reputation management and review acquisition
  • Marketing automation and CRM services
  • Website and sales funnel development
  • Digital advertising management (Google Ads, Facebook Ads, etc.)
  • SMS and email marketing services

The specific services provided to you will be outlined in your service agreement or subscription plan.

3. User Accounts

When you create an account with us, you must provide accurate, complete, and current information. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account.

You are responsible for safeguarding the password that you use to access the Services and for any activities or actions under your password. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

4. Subscription and Payment Terms

4.1 Subscription Plans

Some aspects of the Services are billed on a subscription basis. You will be billed in advance on a recurring and periodic basis (monthly or annually, depending on the plan you select).

4.2 Free Trials

We may, at our sole discretion, offer a subscription with a free trial for a limited period. You may be required to enter your billing information to sign up for the free trial. If you do not cancel before the end of the trial period, you will be automatically charged the applicable subscription fee.

4.3 Billing

A valid payment method is required to process the payment for your subscription. You shall provide accurate and complete billing information. By submitting such payment information, you automatically authorize us to charge all subscription fees incurred through your account.

4.4 Fee Changes

We reserve the right to modify our subscription fees at any time. Any fee change will become effective at the end of the then-current billing cycle. We will provide you with reasonable prior notice of any change in subscription fees.

5. Cancellation and Refunds

You may cancel your subscription at any time by contacting our support team or through your account settings. Upon cancellation:

  • Your subscription will remain active until the end of the current billing period
  • You will not be charged for the next billing period
  • No partial refunds are provided for unused time within a billing period
  • Setup fees and one-time charges are non-refundable

Refund requests for annual subscriptions may be considered on a case-by-case basis within the first 30 days. Contact our support team for assistance.

6. Acceptable Use

You agree not to use the Services:

  • In any way that violates any applicable federal, state, local, or international law or regulation
  • To send unsolicited or unauthorized advertising, spam, or promotional materials
  • To impersonate or attempt to impersonate Review Wizard, a Review Wizard employee, another user, or any other person or entity
  • To engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Services
  • To introduce any viruses, trojan horses, worms, or other material that is malicious or technologically harmful
  • To attempt to gain unauthorized access to any portion of the Services or any other systems or networks
  • To collect or harvest any personally identifiable information from the Services
  • For any purpose that is fraudulent, deceptive, or misleading

7. Communication and Marketing Compliance

When using our SMS and email marketing services, you agree to:

  • Comply with all applicable laws including the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and any state-specific regulations
  • Only send messages to contacts who have provided proper consent
  • Maintain accurate records of consent for all contacts
  • Honor all opt-out requests within the required timeframe
  • Include proper sender identification and opt-out mechanisms in all messages

You are solely responsible for ensuring your use of marketing communications complies with all applicable laws. Review Wizard is not liable for your failure to comply with these regulations.

8. Intellectual Property

The Services and their original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of Review Wizard and its licensors. The Services are protected by copyright, trademark, and other laws.

Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Review Wizard.

9. User Content

You retain ownership of any content, data, or materials you submit through the Services ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute your content solely for the purpose of providing the Services.

You represent and warrant that you own or have the necessary permissions to use and authorize the use of your User Content, and that your User Content does not infringe any third-party rights.

10. Third-Party Services

Our Services may contain links to third-party websites or services that are not owned or controlled by Review Wizard, including but not limited to Google, Facebook, and other advertising platforms.

Review Wizard has no control over and assumes no responsibility for the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that Review Wizard shall not be responsible or liable for any damage or loss caused by your use of any such third-party services.

11. Performance and Results

While we strive to deliver excellent results for our clients, we do not guarantee specific outcomes such as:

  • A specific number of leads or conversions
  • Specific search engine rankings
  • A certain number of reviews or star rating
  • Return on advertising spend

Marketing results depend on many factors outside our control, including market conditions, competition, and your products or services. We will use commercially reasonable efforts to achieve your marketing goals.

12. Limitation of Liability

In no event shall Review Wizard, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of or inability to access or use the Services
  • Any conduct or content of any third party on the Services
  • Any content obtained from the Services
  • Unauthorized access, use, or alteration of your transmissions or content

In no event shall our total liability exceed the amounts paid by you to Review Wizard during the twelve (12) months immediately preceding the event giving rise to the claim.

13. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Services are free of viruses or other harmful components.

14. Indemnification

You agree to defend, indemnify, and hold harmless Review Wizard and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

15. Termination

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the Services will immediately cease. If you wish to terminate your account, you may simply discontinue using the Services or contact us to close your account.

16. Governing Law

These Terms shall be governed and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in effect.

17. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms.
